When accounting standards changed to require debt and equity securities be accounted for according to their substance rather than their legal form, it created a challenge for many SME’s that had undertaken in vivos estate planning.
In such estate freezes, typically the founder of the company transferred the fair value of the equity of the company (at the time of the freeze) to a new class of preferred shares held by her/him. These shares were redeemable at the option of the holder (the founder) for the FMV of the company at the time the estate freeze was implemented. Common shares could then be issued to the founders children for nominal consideration, and post freeze value accretion in the company would accrue to them.
When “substance over form” accounting was implemented, these shares were considered debt. As a result, many SME’s were put offside on debt covenants on their bank financing. Accountants spent much time explaining substance over form accounting to bankers.
As a result, a special exception to substance over form accounting was created by Canadian accounting standard setters to allow hi lo pref shares to be classified according to their legal form, as equity.
Recently, the appropriateness of the exception is being re-examined (see following article): Redeemable preferred shares: Accounting proposal could complicate estate tax plans
In your view:
– are hi-lo pref shares debt or equity? Why do you think so?
– Why are the standard setters re-visiting the accounting for hi-lo pref shares now? Do you think this is appropriate?
– do you think the exception accounting should be allowed to continue? why or why not?

Discussion Question 2
VG is a thirty-one-year-old female who comes in for a routine follow-up. She reports that she has been feeling excessive fatigue over the last month. She also notes that she is having some problems at work, not only because of her fatigue but also because of difficulty concentrating. She also notes that she has gained 10 pounds over the last month, and she is unable to identify the cause of the weight gain. She also notes that her periods are a little heavier and more irregular. She is currently taking daily ferrous sulfate and over-the-counter calcium. According to her medical record, she had a TSH level of 4.2 mIL/L about a year ago. Although this is slightly elevated, no further follow-up was deemed necessary at the time. Repeat blood work today reveals a TSH level of 9.8 mIL/L and a free T4 of 0.72 ng/dL. Answer the following questions:
- What additional findings on the physical exam would you look for?
- What implication does the previous TSH level have?
- What therapy would you institute?
- If VG becomes pregnant, what adjustment, if any, would be needed in her thyroid medication?
For medications, include dosages and schedules. Include highlights of patient teaching and/or lifestyle alterations. Support your decisions with at least one reference to a published clinical guideline and one peer-reviewed publication.

Dear Family: Immigration to the US, history homework help Humanities Assignment Help
Thus far, we have read a lot about the influx of immigrants to the US in the nineteenth and early twentieth centuries. While immigration had been a central part of American society since its origins, the turn of the twentieth century was a high point of immigration in terms the percentage of the overall population that was foreign-born, reaching almost 15 percent in 1890. Immigrants came to the US for many reasons, including “push” factors that drove them out of their home nation (drought, famine, war, overpopulation), and “pull” factors that drove them toward the United States in general and to particular areas within the US (higher wages, educational opportunities, freedom from persecution, family reunification).
Immigrants tended to arrive in “waves” due to push and pull factors, as well as US policies toward particular national groups. While nineteenth-century immigration was dominated by Western Europeans—Irish, British, and German—by the late nineteenth and early twentieth century Southern and Eastern Europeans—Italians, Russians, and a significant number of Eastern European Jews —arrived in much larger numbers until the Johnson-Reed Act (1924) severely limited their numbers by imposing a quota system. Meanwhile, Asian immigrants, particularly Chinese men, arrived in large numbers in California until the passage of the Chinese Exclusion Act in 1882. Unlike the relative welcome that European immigrants received on the eastern coast at Ellis Island, Asian immigrants on the west coast faced extended scrutiny and detention until their formal admission to the US. Mexicans crossed the border (or the border crossed them in the case of those living in the acquired territories after the Mexican-American War) providing the necessary labor to fuel economic growth in the US Southwest.
Use this chart to examine the total number of immigrants in the US over time, and their percentage makeup of the total US population. Use this map to explore where different immigrant groups settled in the US over time.
Each group that came to the United States brought its own unique culture. This usually influenced their actions once they arrived: where they lived, what kind of work they did, and how they socialized and practiced their religion. At the same time, native-born American perceptions about these groups also played a role in how these immigrants were received and their ability to integrate into American society.
Immigration and the backlash against it from native-born Americans (xenophobia) drove many of the changes in American society and domestic and foreign policies you discussed in the first three modules, including Western growth and industrialization, Progressivism, American imperialism, scientific racism/eugenics, anti-German sentiment during World War One, and anti-Russian sentiment afterwards.
In this assignment you will synthesize your reading about immigration in this era through the fictional case study of one immigrant which draws on real historical evidence.
Instructions for the Essay:
For this essay, write a short 3-4 page (about 1000 word) essay describing the experiences of an ethnic group that came to the United States between 1870 and 1920. Your essay will take the form of a letter from one immigrant back home to family in the “old country.” In this letter, you will describe your fictional immigrant’s experiences over at least twenty years. Focus on your experiences in the US as well as how you were received by American society. The last part of your letter should start, “I think my experiences have compared/contrasted to other immigrant groups…” and then give examples. Your introductory paragraph should include references to who your letter writer is and what year the letter was written.
Choose one of the following immigrant groups for your essay: Chinese, Irish, Italian, Mexican, or Eastern European Jewish immigrants).
Some factors you may wish to consider in the paper are: reasons for coming to America “pull factors” and leaving the home country “push factors”; typical jobs for that immigrant group; living conditions and where they settled (urban, rural, etc.) and why; any relevant religious traditions; their success at integrating into the existing mainstream American culture (including Americanization attempts such as the Settlement House movement); any particular challenges they faced, including any applicable immigration restrictions and prejudice.
You must include at least two outside primary or secondary source beyond the course readings.

Appendix III Business Finance Assignment Help
You are working as an accountant at a mid-size CPA firm. One of your clients is Bob Jones. Bob’s personal information is as follows:
DOB: October 10, 1952
SSN: 444-00-4444
Marital Status: Single
Home Address: 5100 Lakeshore Drive, Pensacola, FL 32502
Bob has a very successful used car business located at 210 Ocean View Drive in Pensacola, Florida. Last year, you filed a Schedule C for Bob that had $1,200,000
in taxable income. The business will have an income growth rate of 10% per year over the next several years. Bob’s personal wealth, including investments in
land, stocks, and bonds, is about $14,000,000.
Last year, he reported interest income of $20,000 and dividend income of $6,000. The $14,000,000 includes land worth $9,000,000 that Bob bought in 1966 for
$450,000. The stocks and bonds have a tax basis of $1,200,000 and they are currently worth $5,000,000. All of the investments have been owned for more than
a year. In addition to his investments, Bob paid $140,000 for his home in 1972 and it is now worth $600,000.
The used car business is currently valued at $53,000,000 including the land and building, which are worth $41,000,000. Bob’s tax basis in the land and building is
$2,000,000 and $400,000, respectively. The inventory is worth $12,000,000, with a cost basis of $5,000,000; the remaining assets, which include office furniture
and equipment, make up the remainder of the business’s total value. The office furniture and equipment are fully depreciated.
Bob wants your professional advice regarding whether he should continue to operate as a sole proprietor or convert the business to a partnership, an S
corporation, or a C corporation. Based on one of the business entities selected, Bob wants to include Mandy—his daughter—in the business as an owner and
manager with a possibility of 40% interest. One of his concerns is what would happen to his business after he passes away.
Mandy’s personal tax information is as follows:
Mandy Jones
DOB: June 30, 1990
SSN: 999-99-9999
Marital Status: Single
Home Address: 5990 Langley Road, Pensacola, FL 35203
You will need to describe the tax and limited liability effects on a chosen business entity should Bob decide to reduce the amount of tax paid per year, as well as
the protection of personal assets should there be a possible claim against the company’s assets.
Prepare a memorandum to the client, recommending a type of business entity, including an appendix of supporting IRS tax schedules and forms.
QUESTIONS
Appendix: To further justify your professional advice regarding whether the client should continue to operate as a sole proprietor or convert the business
to a partnership, an S corporation, or a C corporation, complete the appropriate tax schedules using the most current tax forms for the requirements
below.
A. Prepare Bob’s Form 1040 with the appropriate tax schedules and Mandy’s Form 1040 (based on the salary he wanted to pay her, $70,000 per
year). Assume that you are filing the tax returns using sole proprietorship for the business entity and treating Mandy as an employee, regardless
of your initial recommendation for this client.
B. Prepare the appropriate forms in the event that the client decides to convert the business to a partnership, an S corporation, or a C corporation
based on your recommendation. Also, include the tax effect, if any, of the money that the client and his daughter are taking from the business
for their personal expenses. Include the owners’ personal 1040 forms as well.
C. Justify your recommendation using schedules and tax forms you completed by explaining how the forms and schedules result in the best
economic solution for the client consistent with IRS code and regulations.
